These Terms of Service (hereinafter "Terms") apply to all contracts between Sascha Hömske, Alte Poststr. 34, 53721 Siegburg, Germany (hereinafter "SATK", "we") and customers concerning the purchase of digital software products via the website satk.tech and associated distribution channels.
Sales and payment processing for plugins (VST3, AU, AAX) and standalone apps for macOS and Windows are handled by our distribution partner Paddle.com Market Limited, Judd House, 18-29 Mora Street, London EC1V 8BT, United Kingdom (hereinafter "Paddle"). Paddle acts as the Merchant of Record (reseller) and issues the invoice to the end customer.
For purchases via the Apple App Store (iPad, iPhone, and Mac apps), the terms of service of Apple Inc. additionally apply.
The presentation of products on satk.tech does not constitute a binding offer but rather an invitation to make an offer. The customer makes their binding offer by completing the order process on the Paddle checkout page (or in the Apple App Store). The purchase contract is concluded upon order confirmation by Paddle or Apple.
The contract text and order data are stored by the respective distribution partner and provided to the customer by email.
The software is provided exclusively in digital form — as a download and via a licence key sent by email. No physical delivery takes place.
Upon purchase, the customer receives a perpetual, non-exclusive, non-transferable licence to use the respective software:
The licence may not be resold, rented, decompiled, or reverse-engineered, except where expressly permitted by mandatory law.
Prices stated on satk.tech include statutory value-added tax (VAT). The final VAT amount depends on the country of the buyer and is calculated and shown during the checkout process by Paddle or Apple.
Accepted payment methods are displayed at checkout (typically credit card, PayPal, SEPA direct debit via Paddle). Payment is due immediately.
Consumers (as defined in § 13 of the German Civil Code, BGB) have a statutory right of withdrawal of 14 days from the conclusion of the contract. However, the right of withdrawal expires early if the customer has expressly consented to the commencement of contract performance (download and/or licence activation) and simultaneously confirmed the loss of the right of withdrawal upon commencement of contract performance (§ 356 (5) BGB).
The right of withdrawal is exercised directly with Paddle (for direct purchases) or Apple (for App Store purchases). The respective withdrawal forms and detailed terms are provided during the checkout process.
All minor and patch updates within a purchased major version (e.g. version 1.x) are free of charge. Major version upgrades (e.g. from 1.x to 2.x) may be paid but are offered at discounted upgrade rates.
Support is provided by email at info@satk.tech or via the support form at satk.tech/support.html. We aim to respond within 24 hours on business days but do not legally guarantee this response time.
Statutory warranty rights apply. In the event of defects in the software, the customer is entitled to subsequent performance. If subsequent performance fails, the customer may withdraw from the contract or reduce the purchase price in accordance with statutory provisions.
The software is provided as described. Suitability for the customer's individual requirements is not guaranteed unless expressly agreed.
SATK is liable without limitation for damages arising from injury to life, body, or health caused by intentional or negligent breach of duty, as well as for other damages caused by intentional or grossly negligent breach of duty.
For damages arising from breach of essential contractual obligations (cardinal duties), SATK is liable also for ordinary negligence, but limited to the foreseeable damage typical for the contract.
Otherwise, liability is excluded to the extent permitted by law. In particular, SATK assumes no liability for data loss insofar as such loss could have been avoided through proper data backup by the customer.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has their habitual residence.
Jurisdiction for disputes with merchants, legal entities under public law, or special public-law assets is Siegburg, Germany.
The European Commission provides a platform for online dispute resolution: ec.europa.eu/consumers/odr. SATK is not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
SATK reserves the right to amend these Terms with effect for the future. Existing customers will be notified of material changes by email in good time. For purchases already concluded, the terms valid at the time of contract conclusion shall apply.
Should any provision of these Terms be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by such permissible provision that comes closest to the economic purpose of the invalid provision.
